1. Agreement and eligibility
These Terms of Service ("Terms") are an agreement between YUMMY YAP KITCHEN PTE LTD, trading as Publishfy ("Publishfy", "we", "us", or "our") and the person or organisation using the website or service ("you"). You must be at least 18 and legally able to enter into this agreement. If a separate written order, pilot agreement, or data-processing agreement applies, it controls to the extent of a direct conflict.
2. The service
Publishfy provides AI-assisted content creation, campaign planning, brand-knowledge management, approvals, scheduling and supported publishing preparation, connected-platform workflows, and analytics features. The service is currently invitation-only. Features may vary by plan, region, provider approval, connection status, and third-party API availability.
We may modify, suspend, or discontinue features to improve safety, comply with provider rules or law, respond to security risk, or operate the service. We will use reasonable efforts to provide notice of material adverse changes when practical.
3. Accounts, workspaces, and access
You must provide accurate account information, keep credentials and invitations secure, and promptly notify us of suspected unauthorised access. Workspace owners and administrators control membership and brand access within their workspace. You are responsible for actions taken through your account and for granting only appropriate access. We may suspend access where necessary to protect users, providers, or the service.
4. Customer content and AI output
You retain rights you have in content you submit. You grant Publishfy a limited, worldwide licence to host, copy, process, adapt, transmit, and display that content only as necessary to provide, secure, and support the service. You represent that you have the rights and permissions needed for submitted content, connected accounts, and requested processing.
AI output can be inaccurate, incomplete, or similar to output produced for others. You must review facts, claims, rights, suitability, and platform compliance before approval or publication. Publishfy does not guarantee that generated content is unique, non-infringing, legally compliant, or fit for a particular campaign. You are responsible for final publishing decisions.
5. Third-party platforms
If you connect a social or other provider account, you authorise Publishfy to access and act on that account only within the permissions you grant and the actions you request or configure. Third-party terms and policies apply separately. We are not responsible for third-party services, API changes, account restrictions, content moderation, outages, or decisions. Disconnect accounts you no longer want Publishfy to access.
6. Acceptable use
You must not use the service to violate law or third-party rights; impersonate others; mislead people about material facts; create unlawful, abusive, exploitative, or harmful content; distribute malware or spam; probe or bypass security or tenant boundaries; access another user's data; overload the service; reverse engineer protected portions except where law permits; resell access without permission; or submit content you lack permission to process.
We may investigate suspected misuse, remove or restrict content, suspend access, preserve relevant records, and cooperate with lawful authorities where reasonably necessary.
7. Fees and plans
Any paid plan, allowance, renewal, tax, cancellation, and refund terms will be stated in the applicable order or plan confirmation. Unless that agreement says otherwise, fees are non-refundable except where required by law. Preview and pilot access may be changed or withdrawn.
8. Confidentiality
Each party will protect non-public information disclosed by the other using reasonable care and use it only for the service relationship. This does not cover information that is public without breach, independently developed, rightfully obtained from another source, or required to be disclosed by law.
9. Publishfy rights and feedback
Publishfy and its licensors own the service, software, design, documentation, and related intellectual property, excluding customer content. No rights are granted except those expressly stated. If you provide feedback, you allow us to use it without restriction or payment, without identifying you publicly unless you agree.
10. Term and termination
These Terms continue while you use the service. You may stop using it at any time. We may suspend or terminate access for material breach, security risk, non-payment, legal or provider requirements, or discontinuation. After termination, access ends and data is handled under our Privacy Policy and any applicable written agreement. Terms that by nature should survive will survive.
11. Disclaimers
To the maximum extent permitted by law, the service is provided "as is" and "as available". We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. We do not guarantee platform approval, publication, reach, engagement, revenue, or business results. Nothing in these Terms excludes warranties that cannot lawfully be excluded.
12. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profits, revenue, goodwill, or data. Publishfy's aggregate liability arising from the service will not exceed the fees paid or payable for the service during the 12 months before the event giving rise to liability, or SGD 100 if no fees were paid. These limits do not apply where liability cannot lawfully be limited.
13. Governing law and disputes
These Terms are governed by the laws of Singapore, without regard to conflict-of-law rules. The courts of Singapore have exclusive jurisdiction, unless mandatory consumer or local law provides otherwise. Before filing a claim, the parties will try in good faith for 30 days to resolve it through written notice.
14. General
You may not assign these Terms without our consent; we may assign them as part of a reorganisation, financing, or transfer of the service. If a provision is unenforceable, the remainder continues. Failure to enforce a term is not a waiver. These Terms and applicable written agreements are the entire agreement about the service. We may update these Terms by posting a revised date and providing additional notice when legally required; continued use after the effective date constitutes acceptance where permitted.
